NCLT Approves Merger of Sesa Care Into Dabur India

The New Delhi bench of the National Company Law Tribunal (NCLT) has approved the merger of Sesa Care Pvt Ltd, maker of the ayurvedic hair oil brand Sesa, into Dabur India Ltd. The order came at a hearing on 24 September 2026.

Dabur first announced the deal in October 2024, starting with the purchase of a 51 percent stake in Sesa Care’s preference shares from True North. Dabur’s shareholders and unsecured creditors approved the scheme at meetings held at the tribunal’s direction on 2 May 2026.

The merger takes effect once the required filings are made and the scheme’s conditions are met. Dabur has not disclosed the deal value, share swap ratio or Sesa Care’s revenue.

Global CEO Mohit Malhotra described the approval as an important milestone in Dabur’s journey with Sesa Care. Abhinav Dhall, Executive Director and Group Head of Corporate Strategy, said bringing the two businesses together should deliver both revenue and cost synergies.

Market Research Outlook: Sesa gives Dabur a stronger hand in therapeutic hair oils, one of the most loyal segments in Indian hair care. Full integration lets Dabur push Sesa through its large rural distribution network and cut overlapping costs. Expect more consolidation as big FMCG players buy niche ayurvedic brands rather than build them.
